1. Introduction & Acceptance of Terms

These Terms of Service ("Terms") govern access to and usage of the algorithmic analysis suite, automated market monitoring engines, indicators, and client dashboards made available by Keenmeritor ("Platform", "we", "us", or "our") at keenmeritor.site. By registering an account, integrating external exchange application programming interfaces (APIs), or browsing any resource provided on this site, you acknowledge that you have read, understood, and unconditionally agreed to be legally bound by these Terms.

If you disagree with any provision in these Terms, you must immediately terminate platform access and cease utilization of our algorithmic software, calculations, and data feeds.

2. Eligibility & Australian User Undertakings

The platform is engineered for users aged 18 years or older who hold full legal capacity to enter into binding agreements. Individuals accessing the platform from within the Commonwealth of Australia or utilizing Australian bank facilities or digital asset custodians confirm that their trading conduct strictly adheres to applicable domestic financial regulations, including the Corporations Act 2001 (Cth) and anti-money laundering regulations.

You confirm that you are not subject to economic sanctions imposed by the Australian Department of Foreign Affairs and Trade (DFAT), the United Nations Security Council, or equivalent international bodies. Keenmeritor reserves the right to restrict or prohibit account access in any restricted geographic territory.

3. Nature of Platform & Non-Advisory Status

Keenmeritor provides algorithmic computational tools, automated signal aggregation, and market monitoring software. Keenmeritor is not an Australian Financial Services Licensee (AFSL), a broker-dealer, an Australian market licensee, or an authorized financial advisor.

• All analytical projections, risk-scoring outputs, backtesting models, and automated parameters are generated solely for informational and educational use.
• No content or machine output distributed via the platform constitutes personal, general, or credit financial advice, nor does it represent an endorsement or recommendation to buy, sell, or hold any financial instrument, digital token, or derivative.
• You retain sole, autonomous responsibility for every trading decision, capital allocation, leverage setting, and stop-loss deployment executed through your linked external exchange accounts.

4. Account Security and API Connections

To use automated algorithmic execution, users may connect external cryptocurrency trading exchanges via third-party API credentials. Users must:

• Maintain strict confidentiality of their personal login credentials, multi-factor authentication tokens, and API secret keys.
• Ensure that third-party exchange API keys are configured exclusively with trading permissions and that account withdrawal permissions remain permanently disabled.
• Notify Keenmeritor immediately upon discovering any unauthorized entry, data compromise, or suspicious account operation.

Keenmeritor shall under no circumstances be held liable for any loss, misappropriation, or damages resulting from compromised client credentials or insecurely configured API keys on external platforms.

5. Subscription, Billing, and Cancellations

Access to advanced machine-learning models, high-frequency execution pipelines, and premium analytical features may require periodic subscription fees or service credits. All pricing figures are displayed in clear numerical formats and are exclusive of applicable taxes unless explicitly noted.

Subscriptions renew automatically at the end of each billing cycle unless cancelled through your dashboard prior to the renewal date. Subscription fees compensate for software provision and server compute resources; payments are non-refundable once computational cycles have commenced, subject to statutory consumer protections available under the Australian Consumer Law (ACL).

6. Intellectual Property & Permitted Use

All intellectual property rights associated with Keenmeritor, including proprietary algorithms, machine-learning models, graphical interfaces, branding, software code, and data synthesis methods, remain the exclusive property of Keenmeritor and its licensors. You are granted a limited, revocable, non-exclusive, non-transferable license to access the interface for personal trading analysis.

You shall not reverse-engineer, decompile, scrape, copy, redistribute, mirror, or extract the platform's codebase or algorithmic heuristics without explicit written authorization.

7. Disclaimers, Limitation of Liability & Indemnity

The platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. Keenmeritor does not guarantee uninterrupted system availability, latency-free order routing, zero execution slippage, or data accuracy from external liquidity providers.

To the fullest extent permitted under Australian law, Keenmeritor, its directors, employees, and software architects shall not be liable for direct, indirect, incidental, punitive, or consequential losses, including lost profits, capital losses, server downtime, or exchange API disconnections. You agree to indemnify and hold harmless Keenmeritor against any claims, losses, or costs arising from your breach of these Terms or your execution of high-risk trades.

8. Governing Law and Dispute Resolution

These Terms and any dispute or controversy arising out of or related to platform usage shall be governed by, construed, and enforced in accordance with the laws in force in the State of Western Australia, Australia, without regard to conflict of laws principles. The parties submit to the non-exclusive jurisdiction of the courts of Western Australia and courts entitled to hear appeals therefrom.
